Parties and product schedule
Identify the creator legal name/entity, UrTheProduct entity, effective date, product name/SKU, exact workflow, approved provider/model, operations, regions, inputs, outputs, locked configuration, unit package, batch capacity, expiration, maximum cost, approved price, and artwork/content.
License and ownership
The creator retains pre-existing materials. The creator grants UrTheProduct a worldwide, limited license to test, encrypt, store, adapt for safety and integration, market, operate, support, and distribute the accepted product during the term. Define ownership of improvements, replacement prompts, artwork, customer outputs, documentation, and de-identified operational learnings.
Representations
The creator represents authority, adulthood or entity authority, accuracy of provider/cost evidence, rights in every sample and workflow, lack of embedded credentials or malware, and compliance with law, provider terms, privacy, publicity, intellectual property, sanctions, export, and the Acceptable Use Policy.
Review, security, and operations
Document provider approval, retention, attribution, prohibited uses, moderation, quality thresholds, validation cases, storage, incident response, credential handling, change control, support responsibilities, service pauses, batch renewal, and product termination.
Financial schedule
Define net distributable earnings and the 80/20 split, currency conversion, fees, taxes, reserves, refunds, disputes, provider/delivery costs, ledger timing, payout hold, minimum payout, identity/tax readiness, records, audit, corrections, withholding, and no-guarantee language.
Confidentiality and data
Define confidential information, exclusions, permitted access, compelled disclosure, return/deletion, private prompt encryption, creator asset retention, customer-data roles, subprocessors, breach notice, and cross-border requirements.
Risk and termination
Counsel must finalize warranties, disclaimers, indemnities, liability limits, insurance if any, suspension, cure, immediate safety termination, post-termination key handling, survival, governing law, dispute resolution, assignment, notices, force majeure, amendment, severability, and counterparts/e-signature.
